We have provided legal services to various state-owned enterprises in their restructuring matters. Our services include:
1. Providing professional counseling on the restructuring, such as the form to be used for the restructuring, liquidation, assets assessment and disposal, debtors and creditors relations, labor and employment, retirement and pensions, shareholding transfer, party membership, staff and management, maintenance and extension of qualification, and related matters;
2. Providing legal services for assets assessment in the restructuring process, including: assisting in reviewing the legality of the ownership determination process and its result, and of the state-owned assets assessment process and its result, and assisting in the confirmation of the minimum price of shareholding transfer;
3. Providing legal services on compensation for dispersed staff, including counseling on the process of arranging dispersed staff, reviewing the legality of plan for arranging dispersed staff, assisting in distribution of compensation to related staff, etc.;
4. Advising on debtors and creditors matters during the restructuring process and other related legal affairs;
5. Acting on behalf of client to draft, revise, review and submit the detailed plan of restructure, issuing legal opinions on the validity and enforceability of the restructuring plan; and
6. Providing legal services for assets title transfer in the restructuring process: making transfer plans, designing shareholding allocation plans, issuing legal opinions on validity of transfer, attending negotiations and drafting contracts and legal documents accordingly, filing assets title transfer registration and records.
