A. Decision-making on investments of real estate development
1. To analyze feasibility of real estate project under relevant law, to prepare and issue legal opinions;
2. To research on laws, regulations, administrative rules, policies and other legal documents related to property and real estate development;
3. To inspect the credit, capital flow and related information, and cooperation plan, to advise on such cooperation plans as well as other feasible agreements;
4. To attend project negotiations and offer legal advice;
5. To assist clients in land taking, and residents relocation compensation and related matters;
6. To assist clients in coordinating the relationship with administrating departments and related public utilities companies;
7. To assist in project company setup and to arrange for project finance.
B. Property development and construction
1. To assist in obtaining land planning permits, land use certificates and construction planning certificates and construction permits;
2. To supervise capital injection and advise on capital flow and issue legal opinions;
3. To assist in project survey, design, construction and supervision and bidding, and drafting and reviewing and supervising implementation of contracts;
4. To review loan and mortgage contracts;
5. To attend project negotiations and offer legal advice and suggestions;
6. To meditate disputes arising from project and offer related legal support;
7. To advise on problems existing in construction process (including delays, quality problems, safety measures, inspection and acceptance, etc.);
8. To assist in ascertaining the project final costs and offer legal advice thereon.
C. Real estate presale and sale
1. To review sales advertisements and other publicized information, and to issue related legal opinions;
2. To conduct legal training among staff in charge of sale and customer service;
3. To draft, review and revise presale contracts, sale contracts and rental contracts;
4. To draft and revise related legal documents, including temporary owners covenants, initial real estate management service contracts, residence use manual, house quality warranties insurance, the right of use transfer list, etc;
5. To attend negotiations and contract signing between developer companies and customers in the process of signing contracts;
6. To assist developer companies to handle other legal matters related to sales;
7. To appoint lawyers to work with clients and to provide legal opinions and advice;
8. To assist in application for mortgage loans and to arrange for the release of the developer from guaranties;
9. To act for clients in dispute resolutions by lawsuit, arbitration or mediation;
10. To offer legal assistance in property transfer and delivery, and advise on dispute resolution related thereto.
D. Legal services related to foreign investments in real estate development projects
1. To provide legal services in using foreign capitals in domestic real estate and construction projects, to introduce into China the advanced technology and leading design concepts, and overseas tendering procedures, etc;
2. To draft, review, revise and translate contracts for foreign investors operating in real estate projects in China;
3. To advise on property transactions invested by residents from HK S.A.R., Macaw S.A.R. and overseas, and to act for clients in handling related disputes arising in the process;
4. To review legal documents concluded between domestic and foreign companies;
5. To attend business negotiations;
6. To advise on customs, commodity inspection, international transportation, insurance, cross-border payment (e.g. by letter of credit) and related matters involving import and export;
7. To review feasibility reports of investment projects, issue legal opinions accordingly, and select appropriate investment tools and insurance mechanisms;
8. To issue legal opinions for domestic companies investing overseas, to arrange for local registrations, to establish branch offices, representative offices, etc.;
9. To investigate credit and transaction records of companies both within and outside China;
10.To prepare tendering documents in international projects, attend negotiations and contract signing.
